App Terms of Service

1. About TG Vault

TG Vault is designed to provide practical tools that support leadership, coaching, accountability, recognition, follow-up, goal tracking, and team development.

TG Vault is a leadership support tool. It is not intended to replace professional legal, human resources, medical, mental health, financial, or other professional advice or services.

You are responsible for determining whether and how information or tools provided through TG Vault are appropriate for your circumstances.

2. Eligibility

You must be at least 18 years old to create an individual TG Vault account.

By using the Service, you represent that you:

• Are legally able to enter into these Terms
• Will use the Service in compliance with applicable laws
• Will provide accurate account information
• Are authorized to use the Service on behalf of an organization if you create or administer an organizational account

3. Accounts and Account Security

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.

You agree to notify us if you become aware of unauthorized access to or use of your account.

You may not share login credentials in a manner that circumvents subscription requirements, user limits, or other access restrictions.

4. TG Vault Pro and Organizational Accounts

TG Vault Pro allows organizations to provide access to multiple leaders and may include shared organizational features, team visibility, administrative functionality, and other collaborative tools.

Organizations are responsible for determining:

• Who should have access to their TG Vault Pro account
• Appropriate user roles and permissions
• What information users should enter into the Service
• When user access should be added, changed, or removed

Users of an organizational account understand that certain information may be accessible to authorized administrators or other users depending on the features and permissions associated with their account.

5. Subscriptions and Payment

Certain TG Vault features require a paid subscription.

By purchasing a subscription, you agree to pay the price presented at the time of purchase, including any applicable taxes or fees.

Subscriptions may be offered on a monthly, annual, promotional, trial, beta, or other basis.

Promotional, introductory, or beta pricing may differ from current or future subscription pricing.

We may change subscription pricing or available plans from time to time. Where required, we will provide appropriate notice before changes apply to an existing subscription.

Payments and subscriptions may be processed through third-party payment providers or applicable app stores and may also be subject to their terms and policies.

6. Trials, Cancellations, and Refunds

If TG Vault offers a free or promotional trial, the applicable trial terms will be disclosed when you enroll.

You may cancel your subscription at any time using the cancellation options available through the platform where the subscription was purchased.

When you cancel, your subscription will remain active through the end of your current paid billing period. Your subscription will not renew after that period ends.

Unless otherwise required by law or stated at the time of purchase, payments are non-refundable.

7. User Content and Responsibility

TG Vault allows users to enter and maintain information such as leadership notes, goals, tasks, recognition, follow-up items, and information relating to team members or colleagues.

You are responsible for the accuracy, legality, appropriateness, and content of information you enter into the Service.

You agree not to enter information that you do not have an appropriate right or legitimate reason to maintain.

TG Vault should not be used to store highly sensitive information that is unnecessary for leadership purposes, including:

• Social Security numbers or similar government identification numbers
• Complete payment card or bank account credentials
• Passwords or authentication credentials
• Detailed medical or health records
• Other highly sensitive information that is unnecessary for the intended use of TG Vault

8. Ownership of User Content

You retain ownership of content you enter into TG Vault.

You grant TG Strategy Partners the limited rights necessary to host, process, transmit, back up, and otherwise use that content for the purpose of providing, securing, maintaining, and improving the Service.

We do not acquire ownership of your user-entered content simply because you use TG Vault.

9. Intellectual Property

TG Vault, including its software, design, branding, features, templates, resources, written content, graphics, and other materials provided by TG Strategy Partners, is owned by or licensed to TG Strategy Partners and is protected by applicable intellectual property laws.

Except as expressly permitted through the Service, you may not copy, reproduce, distribute, sell, license, modify, reverse-engineer, or create derivative works from TG Vault or its proprietary content.

10. Acceptable Use

You agree not to:

• Use TG Vault for unlawful, fraudulent, abusive, or harmful purposes
• Harass, threaten, or improperly monitor another person through the Service
• Attempt to gain unauthorized access to TG Vault, another user's account, or associated systems
• Reverse-engineer, interfere with, disrupt, or attempt to compromise the Service
• Introduce malware, malicious code, or other harmful technology
• Circumvent subscription limits, permissions, security controls, or access restrictions
• Use automated methods to scrape or extract information from the Service without authorization
• Use TG Vault in a manner that violates another person's privacy or intellectual property rights

We may suspend or terminate access when we reasonably believe these Terms have been violated or the Service is being misused.

11. Data Retention Following Cancellation

If your subscription is canceled or expires, access to some or all features of the Service may end.

Account information and user content may be retained for a limited period following cancellation or expiration before being deleted.

Where applicable, we may provide notice before permanently deleting account data.

Users are responsible for retaining copies of information they are legally or operationally required to maintain outside of TG Vault.

12. Third-Party Services

TG Vault may rely on or integrate with third-party services, including payment processors, cloud infrastructure providers, authentication services, communication providers, analytics providers, and app stores.

Your use of certain third-party services may be subject to additional terms or privacy policies provided by those third parties.

We are not responsible for third-party services that we do not own or control.

13. Service Availability

We work to maintain reliable access to TG Vault, but we do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

Access may occasionally be limited due to maintenance, updates, technical issues, security concerns, third-party service disruptions, or circumstances beyond our reasonable control.

Features may also be added, modified, or discontinued as TG Vault evolves.

14. Disclaimer of Warranties

To the extent permitted by applicable law, TG Vault is provided “as is” and “as available.”

We do not guarantee that use of TG Vault will produce specific leadership, employee, organizational, business, or other outcomes.

TG Vault tools and resources are intended to assist users in making their own leadership and business decisions.

15. Limitation of Liability

To the extent permitted by applicable law, TG Strategy Partners and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Service.

TG Strategy Partners is not responsible for losses resulting from user error, unauthorized account access caused by a user's failure to protect credentials, decisions made based on information entered into or obtained through the Service, or failures of third-party services outside our reasonable control.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

16. Suspension and Termination

We may suspend or terminate access to the Service if:

• You materially violate these Terms
• Required subscription payments are not made
• Your use creates a security or legal risk
• Your use threatens the operation or integrity of the Service
• We are legally required to do so

You may discontinue use of TG Vault at any time, subject to applicable subscription and cancellation terms.

17. Privacy

Our collection and use of personal information is described in the TG Vault App Privacy Policy.

The Privacy Policy should be read together with these Terms.

18. Changes to These Terms

We may update these Terms as TG Vault, our business, technology, or applicable requirements change.

If changes are material, we may provide notice through TG Vault, by email, or through another reasonable method.

The effective date at the top of these Terms will indicate when the current version became effective.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law principles.

To the extent permitted by applicable law, disputes arising from or relating to these Terms or the Service will be resolved through binding arbitration in Phoenix, Arizona, rather than in court.
